01About these terms
These terms are an agreement between you and Univershala Technologies Private Limited, a company in India (“Replicorg”, “we”, “us”), for the Replicorg website (replicorg.com) and app (app.replicorg.com). By signing in or using Replicorg you accept them. If you use Replicorg for an organisation, you confirm you may accept these terms for it, and “you” includes that organisation.
Our registered office: Univershala Technologies Private Limited, PH 01, 6th Floor, Rich Homes, 5/1, Richmond Rd, Shanthala Nagar, Ashok Nagar, Bengaluru, Karnataka 560025, India.
02What Replicorg does
Replicorg runs coding agents on your software tasks. It starts the agents you choose in a sandbox (a Replicorg cloud sandbox, your own sandbox provider account, or your own machine), lets your team watch and step in, checks the work, and opens pull requests in your GitHub repositories.
03Accounts and workspaces
- You sign in with your GitHub account. Keep it secure; you are responsible for what happens under your account.
- Work happens in a workspace linked to a GitHub organisation or account. Workspace admins manage members and their roles, credentials, connected tools and billing.
- Give us accurate information, and tell us if you think someone has used your account without permission.
- You must be at least 18 years old to use Replicorg.
04Your code and content
You own your code and content: repositories, tasks, comments, instructions, and the changes agents make for you. We claim no ownership of them.
You give us permission to store, copy, process and send your content only as needed to run Replicorg for you: for example, to clone a repository into a sandbox, pass your instructions to the model provider you chose, show work to your workspace members, and push branches and pull requests. This permission ends when your content is deleted, except for copies we must keep by law. On a verified deletion request, we delete your content, including retained copies under our control, within 30 days, except records we must retain by law.
You confirm you have the right to use the code, data and credentials you bring to Replicorg. If you send us feedback, we may use it without owing you anything.
05Agents and their output
Coding agents are automated and can be wrong. Their changes may contain bugs or security problems, and they may run commands that change files, services or accounts they can reach with the credentials you provide.
- You are responsible for reviewing agent output before you rely on it, merge it or deploy it, including when you turn on automatic merging.
- You are responsible for what agents do with the access and credentials you give them, and for charges by your model provider or your own sandbox provider.
- Replicorg's checks and reviews help you judge the work; they do not guarantee it is correct or safe.
06Other providers
Replicorg works with services run by others, such as GitHub, AI model providers, Daytona, Slack and Jira. Your use of those services is also governed by their terms. We are not responsible for their services, outages or charges.
07Acceptable use
Don't use Replicorg, or its sandboxes, to:
- break the law or infringe anyone's rights, including running code or using data you have no right to;
- create or spread malware, or attack, scan or probe systems you don't own or have permission to test;
- mine cryptocurrency, send spam, run open proxies, or scrape at scale;
- get around another service's limits, or use sandboxes as general-purpose hosting unrelated to your software work;
- try to escape a sandbox, reach other customers' data, or get around Replicorg's limits, billing or security;
- overload or disrupt Replicorg or its providers;
- resell Replicorg without our written agreement.
We may stop a sandbox or task straight away if it appears to break these rules or puts the service or others at risk.
08Plans, credit and billing
- Work on your own machine or your own sandbox provider account is never billed by Replicorg. Model usage is billed by your model provider, not by us.
- Prices are in US dollars and charged by card. Customers in India on the Team plan may pay in Indian rupees by bank mandate (eMandate).
- Payments are processed by Razorpay. We do not store card numbers.
- Paid plans renew every month until cancelled. By subscribing you authorise these recurring charges.
- Your plan's monthly credit is used before top-up credit. Credit included with a plan that is unused at the end of its month or paid period expires; top-up credit does not expire.
- If a renewal payment fails, Razorpay retries it. If it still hasn't succeeded three days after the paid period ends, the workspace moves to the Free plan.
- Prices exclude GST and other applicable taxes. Applicable taxes are shown at checkout. Contact billing@replicorg.com for billing and tax-invoice questions.
- We will give you notice before a price change applies to you. We will give at least 30 days’ notice before a price change applies to your next renewal.
When credit runs out
When your credit runs out, cloud work Replicorg runs for you pauses, and its workspace is kept so the work can continue once credit is available. Work on your own machine or your own sandbox provider account carries on. Add credit to resume cloud work: top-ups are $50, $100 or $500. For larger amounts, contact billing@replicorg.com. We do not continue chargeable cloud work automatically beyond the available credit.
09Cancelling
A workspace admin can cancel a paid plan in the app at any time. Cancelling stops renewal: the workspace keeps its plan until the end of the period already paid for, is not charged again, and then moves to the Free plan. Refunds are covered by the Refund and Cancellation Policy.
10Suspension and termination
We may suspend or close your access if you seriously or repeatedly break these terms, don't pay, put the service or others at risk, or if the law requires it. Where practical, we will tell you first and give you a chance to fix the problem.
You may stop using Replicorg at any time. To close your account or workspace, write to hello@replicorg.com. What happens to your data afterwards is described in the Privacy Policy. Please save the code and records you need before requesting deletion. You may include an export request when contacting us.
Sections 4, 5, 12, 13, 14 and 16 continue to apply after these terms end.
11Availability and changes to the service
We work to keep Replicorg available, but we do not promise uninterrupted service or any particular uptime unless we agree a service level with you in writing. Replicorg depends on providers such as GitHub, Daytona and model providers, and may be affected by their outages. We may change, add or remove features; if we remove something significant you pay for, we will tell you in advance.
12Disclaimer
Except as these terms say, Replicorg is provided “as is” and “as available”. To the extent the law allows, we make no other promises, including that the service or agent output will be error-free, secure or fit for a particular purpose.
13Limitation of liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, lost profits or revenue, or loss or corruption of data or code, including losses caused by agent actions or output;
- our total liability for all claims relating to Replicorg is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these terms limits liability that cannot be limited by law.
14Your responsibility for claims
If someone makes a claim against us because of your content, your use of Replicorg in breach of these terms, or what agents did with the access you gave them, you agree to cover our reasonable costs and losses from that claim.
15Changes to these terms
We may update these terms. We will post the new version here with its effective date and, for significant changes, tell you by email or in the app before they take effect. We will give at least 30 days’ notice of significant changes, except where an earlier change is required by law or necessary to address an urgent security risk. If you keep using Replicorg after that, the new terms apply.
16Governing law and disputes
These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have jurisdiction over disputes about them.
